These terms apply to coaching services provided under The Wholeness Lifestyle, also called “TWL”, by Ndidi Ngwuluka Limited, KT Building, Bukuru-Du, 930281, Nigeria. Contact: hello@ndidingwuluka.com.
They apply to the Whole-Life Clarity Session and Director’s Cut. A booking page, invoice or written programme agreement may include service-specific details. If terms conflict, the service-specific terms control for that service, but mandatory rights under applicable law remain unaffected.
1. Eligibility and acceptance
TWL coaching is for adults aged 18 and over. Services are delivered online and may be available in different countries, subject to availability, applicable law and practical payment or delivery restrictions.
By booking, paying for or beginning a service, you confirm that you:
- are at least 18 years old;
- have provided information that is accurate to the best of your knowledge;
- accept these terms and any applicable private programme agreement; and
- understand the nature and limits of coaching described below.
Director’s Cut clients must accept the private programme agreement before payment or commencement.
2. Coaching scope and responsibilities
Coaching is a collaborative, reflective process that can help you gain clarity, identify patterns, make decisions and take actions you choose. You remain responsible for your choices, actions, wellbeing and results.
Coaching is not psychotherapy, counselling, medical care, mental-health treatment, crisis intervention, legal, tax, accounting, investment or other financial advice, or pastoral care. Faith-rooted discussion, prayer or references to The Word do not create a pastoral, clergy or spiritual-director relationship.
TWL does not diagnose conditions, prescribe treatment or instruct you to disregard qualified professional advice. TWL may pause or decline matters outside coaching scope and encourage you to consult an appropriately qualified professional.
Coaching is not an emergency service. Email and WhatsApp are not continuously monitored. If you are in immediate danger, experiencing a crisis or believe you may harm yourself or another person, contact the appropriate emergency service or crisis-support provider in your location immediately.
Results depend on your circumstances, decisions, effort and factors outside TWL’s control. TWL does not guarantee any particular health, wellbeing, relationship, faith, financial, work, business, income or other outcome.
You agree to:
- participate honestly and respectfully;
- attend on time and provide requested intake information;
- decide whether and how to act on matters discussed;
- seek qualified professional help where appropriate;
- promptly disclose circumstances that materially affect safe or appropriate participation;
- protect your email, WhatsApp account, meeting links and devices; and
- not record a session without TWL’s prior written agreement.
3. Fees, payment and confirmation
Prices and payment arrangements appear on the booking or enrolment page, invoice or private programme agreement. You are responsible for currency-conversion costs, bank charges or similar charges imposed by your provider.
A booking or place is confirmed only after the required payment has cleared and required acceptance or onboarding steps are complete.
3.1 Whole-Life Clarity Session
The Whole-Life Clarity Session is a private 90-minute online session. The fee is US$120 or ₦165,000, payable in full before confirmation.
3.2 Director’s Cut
Director’s Cut is a private 12-week coaching programme offered after an application and fit assessment. Acceptance is not automatic. TWL may decline an application if the programme is not an appropriate fit or capacity is unavailable.
Director’s Cut is a commitment to the complete programme, not a purchase of separate sessions. An approved instalment arrangement divides the full programme fee into scheduled payments and is not pay-as-you-go. Subject to these terms and mandatory applicable law, all remaining instalments remain due if you stop participating.
4. Services and communication boundaries
4.1 Whole-Life Clarity Session
The service includes one private 90-minute session and any inclusions expressly stated in the booking confirmation.
4.2 Director’s Cut
Unless the private programme agreement states otherwise, Director’s Cut includes:
- one 90-minute Opening Slate;
- five 60-minute private coaching sessions;
- one 75-minute Final Cut;
- structured weekly check-ins during the 12-week programme;
- private one-to-one WhatsApp coaching chats with Ndidi during the 12-week programme;
- the Complete Wholeness Collection;
- a deeper facilitated version of The Whole-Life Clarity Map;
- ongoing access to Wholeness Embracers;
- a personalised 90-day continuation plan; and
- one follow-up approximately 30 days after the programme ends.
WhatsApp coaching support is limited to the 12-week programme. It is not continuous or unlimited access, is not for emergencies, and does not replace scheduled coaching or appropriate professional care. TWL normally aims to reply within one to two business days. This target is not guaranteed and excludes weekends, public holidays, notified unavailability and circumstances outside TWL’s reasonable control.
The private WhatsApp coaching chat ends with the programme. Ongoing access to Wholeness Embracers does not extend private coaching or WhatsApp access.
5. Rescheduling, cancellation, lateness and missed sessions
Send notice to hello@ndidingwuluka.com or use another method expressly provided by TWL. Notice takes effect when received. Times and notice periods use the time zone in the booking confirmation.
5.1 Whole-Life Clarity Session
- You may reschedule once with at least 24 hours’ notice, subject to availability.
- Cancellation at least 48 hours before the scheduled start qualifies for a full refund.
- Cancellation within 48 hours of the scheduled start is non-refundable.
- A no-show is non-refundable.
- Late arrival does not normally extend the end time. If the session cannot reasonably proceed, TWL may treat it as missed.
- TWL may use reasonable discretion in a genuine emergency, particularly where supporting information is reasonably available.
- If TWL cancels, it will offer a suitable replacement time. If no suitable replacement is agreed, TWL will issue a full refund.
5.2 Director’s Cut before the programme starts
- Cancellation at least seven days before the agreed start date qualifies for a full refund.
- Cancellation less than seven days before the agreed start date is considered individually. A refund is not automatic, subject to mandatory applicable law.
- Once the Opening Slate occurs or programme resources are delivered, whichever happens first, payments made are non-refundable and remaining agreed instalments remain due, except where these terms or mandatory applicable law provide otherwise.
5.3 Director’s Cut sessions during the programme
- You may reschedule with at least 24 hours’ notice, subject to availability and completion within the programme timetable or another period agreed in writing.
- A session missed, cancelled late or requested to be moved with less than 24 hours’ notice counts as used, unless TWL uses discretion for a genuine emergency.
- Late arrival does not extend the end time. If too little time remains for meaningful coaching, the session may count as used.
- Unused sessions have no cash value and are not transferable unless TWL agrees otherwise in writing.
5.4 Refund timing and method
An approved refund will normally be returned to the original payment method. Timing depends on the payment provider or financial institution. TWL is not responsible for exchange-rate differences or charges imposed by your bank or payment provider, except where applicable law requires otherwise.
6. Pausing or changing Director’s Cut
Director’s Cut is time-bound, so a pause or extension is not automatic. If illness, emergency or another serious circumstance substantially affects participation, contact TWL promptly. TWL may agree in writing to a reasonable adjustment, pause or revised schedule, subject to availability and programme integrity.
7. Termination
You may stop participating at any time, but this does not create a refund or cancel remaining Director’s Cut instalments.
TWL may pause or end coaching if:
- fees remain unpaid;
- you materially or repeatedly breach these terms;
- your conduct is abusive, threatening, discriminatory, unlawful or seriously disruptive;
- continuing would be unsafe, inappropriate or outside coaching scope; or
- another serious circumstance makes delivery impracticable.
If TWL ends a service because of your breach, amounts paid are not refundable and outstanding Director’s Cut instalments remain due, to the extent permitted by law.
If TWL ends Director’s Cut without your breach, it will fairly refund the portion paid for but not delivered. The calculation may reasonably account for sessions, resources and other programme elements already supplied. If TWL cancels a Whole-Life Clarity Session and no suitable replacement is agreed, section 5.1 applies.
8. Confidentiality and privacy
TWL treats information shared in private coaching as confidential and discloses it only where:
- you consent or request disclosure;
- disclosure is reasonably necessary to provide or administer the service through approved providers;
- law, regulation, a court order or another binding legal process requires it;
- TWL reasonably believes disclosure is necessary to respond to a serious and imminent risk of harm to you or another person; or
- disclosure is reasonably necessary to establish, exercise or defend legal rights.
Internet, email, video-conferencing and WhatsApp carry security and availability risks. TWL takes reasonable care but cannot guarantee that a third-party platform is uninterrupted, permanently available or completely secure. Do not send passwords, payment-card details, medical records or information unnecessary for coaching through coaching channels.
TWL will not use your name, image, testimonial, story or identifiable coaching details for marketing without separate permission. Personal information is handled under TWL’s Privacy Policy and applicable law.
TWL may retain:
- coaching agreements, invoices and payment records for up to seven years, or another legally required period;
- intake forms, coaching notes, summaries and action plans for up to three years after coaching ends; and
- Director’s Cut WhatsApp coaching chats for up to seven years after coaching ends, subject to lawful earlier deletion and the practical limits of WhatsApp, devices and backups.
These are maximum working retention periods, not promises of permanent availability. Information may be deleted earlier when legally required or following an appropriate deletion request, unless TWL must retain it for a lawful reason.
9. Materials and intellectual property
TWL and its licensors retain intellectual-property rights in programme materials, prompts, frameworks, maps, worksheets, recordings and other coaching resources.
Unless stated otherwise, you receive a limited, personal, non-exclusive, non-transferable licence to use the materials for your own non-commercial purposes. Without prior written permission, you may not copy, publish, sell, license, distribute, upload, teach from or share them, or use them to create a competing product or service.
Your personal notes, completed reflections and personal information remain yours. This does not transfer ownership of an underlying TWL template, framework or design.
10. Technology, changes and events outside control
Each party is responsible for its internet connection and equipment. If a material technical problem attributable to TWL prevents a session, TWL will arrange a reasonable replacement. If your connection or equipment prevents participation, the usual cancellation and missed-session rules apply, although TWL may use reasonable discretion.
TWL may make reasonable administrative, scheduling or platform changes that do not materially reduce the service. It will communicate a material change to affected clients.
Neither party is responsible for delay or failure caused by events outside reasonable control, including serious illness, internet or platform failure, natural disaster, civil disturbance, government action or widespread service interruption. The affected party should give notice where reasonably possible, and both parties will try to agree a practical alternative. This does not remove a refund or other right that cannot lawfully be excluded.
11. Liability and mandatory rights
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, or removes a mandatory consumer right that applies to you.
To the fullest extent permitted by law, TWL is not responsible for indirect or consequential loss, loss caused by your decision to act or not act, or loss arising from information or circumstances you did not disclose. TWL remains responsible for providing the agreed service with reasonable care and skill where required by applicable law.
12. Governing law and disputes
These terms are governed by Nigerian law. This does not deprive you of mandatory consumer protections that apply in your country or location.
If a concern arises, email hello@ndidingwuluka.com with enough information for TWL to understand and address it. The parties will first try to resolve the matter directly and in good faith. If unresolved, they may use mediation where appropriate. If still unresolved, either party may bring the matter before the courts of Nigeria, subject to any mandatory right you have to bring proceedings elsewhere.
13. Changes to these terms
TWL may update these terms for legal, operational or service reasons. The terms accepted at booking or enrolment normally continue to govern that service unless law requires a change or you agree otherwise. TWL will communicate material changes affecting an active service where reasonably practicable.
