TWL Website Terms and Conditions

1. About these Terms

These Terms govern your use of the TWL website, including its content, customer areas, forms and online store (the Website). The Website is operated by Ndidi Ngwuluka Limited, a company registered in Nigeria, trading through TWL (TWL, we, us or our).

By using the Website, you agree to these Terms. If you do not agree, do not use it.

Our Privacy Policy and Cookie Policy also apply. Purchases of digital products are governed by the TWL Digital Product Terms, Digital Product Refund Policy and any product-specific terms shown before purchase. Product-specific terms prevail to the extent of a conflict. Nothing in these documents limits rights that cannot lawfully be limited.

2. Eligibility and international access

You must be at least 18 and legally able to enter a binding agreement to use the Website, create an account or place an order. If acting for an organisation, you confirm that you are authorised to bind it.

TWL operates online and serves customers internationally. You are responsible for ensuring that your access, use and purchases are lawful in your location. We may restrict access, products, payment methods or features where required by law, sanctions, provider rules or technical limitations.

3. Website availability and information

We use reasonable care to keep the Website available, secure and accurate, but do not guarantee uninterrupted, error-free or universally compatible access. We may suspend or alter parts of it for maintenance, security, operational or legal reasons.

Unless expressly stated otherwise, Website content is general information or education, not legal, financial, medical, mental-health or other regulated professional advice. You remain responsible for your decisions and results. Examples and testimonials do not guarantee any outcome.

4. Accounts and security

If the checkout email address does not belong to an existing TWL account, a customer account will be created automatically and securely. You will receive a secure way to set a password.

You must provide accurate information, protect your login details, use a strong unique password and promptly report suspected unauthorised access to hello@ndidingwuluka.com. Do not share, sell or transfer your account.

We may reasonably verify account requests and suspend access where we suspect fraud, a security risk, prohibited use or a material breach. Where appropriate, we will give you an opportunity to resolve the issue.

5. Orders, prices and payment

Submitting an order is an offer to buy. A contract forms when we accept the order, normally by confirming it or making the purchased content available. Before acceptance, we may decline or cancel an order because payment is not authorised, an item is unavailable, information or pricing contains an obvious error, or we reasonably suspect fraud or unlawful activity. If we take payment for an order we do not accept, we will refund it.

Prices, currency and any tax we collect are shown before payment. You are responsible for other taxes lawfully payable in your location. Your bank or payment provider may apply exchange rates or fees.

We may use PayPal, Flutterwave or Paystack to process payments. Their terms and privacy practices apply, and their authorisation decisions, fees, exchange rates and availability are outside our control.

6. Intellectual property

The Website and its content are owned by or licensed to Ndidi Ngwuluka Limited and protected by intellectual-property law. You may view the Website and save or print a reasonable number of Website pages for your personal, non-commercial use.

Without written permission, you must not reproduce, republish, distribute, sell, license, commercially exploit, systematically extract or create derivative works from Website content; remove ownership notices; misuse TWL branding; or use the content to train or improve an artificial-intelligence or machine-learning system.

Buying a digital product grants only the licence described in the Digital Product Terms. It does not transfer intellectual-property ownership.

7. Acceptable use

You must not use the Website to:

  • break the law, deceive, defraud, abuse or harm;
  • infringe another person's rights, privacy or intellectual property;
  • introduce malicious code or evade security controls;
  • gain unauthorised access to accounts, systems or networks;
  • disrupt the Website or impose an unreasonable automated load;
  • impersonate another person; or
  • collect personal information or send unsolicited promotions without authority.

We may investigate suspected misuse, restrict access, preserve relevant evidence and report unlawful conduct where appropriate.

8. Submissions, links and third parties

If you submit reviews, comments, feedback or other material, you confirm that it is lawful, accurate and yours to provide. You retain ownership and grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce and display it only as reasonably needed to operate the Website, provide the relevant service, respond to you or carry out another use you specifically approve.

The Website may link to or use independent services. Their own terms and privacy notices may apply. We are not responsible for their independent content, acts or availability, but this does not remove any responsibility that law places on TWL.

9. Liability and mandatory rights

We provide the Website with reasonable care and skill. To the extent permitted by law, it is otherwise available without guarantees that it will always be secure, uninterrupted, error-free or compatible with every device or configuration.

Nothing in these Terms excludes liability where exclusion is unlawful, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence where applicable.

For consumers, our responsibility covers reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill. It does not cover loss that is not reasonably foreseeable, results from your breach or misuse, or could reasonably have been avoided by following our instructions and maintaining suitable security.

For business use, to the extent permitted by law, we are not liable for lost profit, revenue, business, contracts, anticipated savings, data or goodwill, or indirect or consequential loss.

Nothing in these Terms limits mandatory consumer protections, warranties or remedies that apply in your location.

10. Ending access and general terms

You may stop using the Website at any time. We may restrict or end access because of a serious or repeated breach, fraud, security risk, legal requirement or discontinuation. Rights and obligations that arose earlier, and provisions intended to continue, remain effective.

If any provision is unlawful or unenforceable, the rest remains in effect. A delay in enforcing a right is not a waiver. You may not transfer your rights or obligations without our written consent. We may transfer ours as part of a genuine business reorganisation or transfer, provided your rights are not reduced.

11. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, first email hello@ndidingwuluka.com with the issue and the resolution sought. Both sides will try in good faith to resolve it directly. If unresolved, the parties may use mediation where appropriate and mutually agreed. A dispute that remains unresolved may be brought before a court of competent jurisdiction in Nigeria.

You retain mandatory protections, remedies and local rights to bring proceedings that cannot lawfully be waived.
