TWL Digital Product Terms
1. Scope and supplier
These Terms apply to downloadable or otherwise digitally supplied products bought through TWL, such as guides, workbooks, templates, audio, video and digital tools (each a Digital Product).
Digital Products are supplied by Ndidi Ngwuluka Limited, a company registered in Nigeria, trading through TWL (TWL, we, us or our).
These Terms should be read with the Website Terms and Conditions, Digital Product Refund Policy, Privacy Policy and any product-specific terms shown before purchase. Product-specific terms prevail to the extent of a conflict.
You must be at least 18 and legally able to enter a contract. TWL operates online and sells internationally, subject to legal and payment restrictions. If buying for an organisation, you confirm that you can bind it and understand that consumer protections may not apply.
2. Product information and compatibility
The product page describes the Digital Product, file format, main features and known technical requirements. We will supply content that materially matches that description.
Before ordering, check that you have a compatible device, operating system, browser, application, storage space, internet connection and any identified third-party software. You are responsible for compatibility where requirements were clearly disclosed. If they were not clearly disclosed, or the supplied files do not materially meet them, contact us so we can investigate.
3. Orders and payment
Your order is an offer to buy. A contract forms when we accept it, normally by sending confirmation or making the Digital Product available. Before acceptance, we may decline or cancel an order if payment is not authorised, the product is unavailable, information or pricing contains an obvious error, we reasonably suspect fraud or unlawful use, or supply to your location is unlawful. If payment has been taken for an order we do not accept, we will refund it.
The price, currency and any tax we collect are shown before payment. You are responsible for other taxes lawfully payable in your location. Banks and payment providers may apply exchange rates or fees.
Payments may be processed by PayPal, Flutterwave or Paystack under their own terms and privacy practices. Their authorisation, verification, charges and availability are outside our control.
4. Delivery, accounts and access
The Digital Product is available when its file, download link or access instructions are shown on the confirmation page, emailed to your checkout address, placed in My Account, or made accessible as described on the product page.
Delivery is usually prompt after successful payment but may be delayed by payment checks or technical issues. Check your inbox, spam folder and My Account. If access does not arrive within the stated time, or a reasonable time if none is stated, email hello@ndidingwuluka.com with your order details. We will investigate and, where possible, resend the link, restore access or provide another reasonable delivery method.
If your checkout email address does not belong to an existing TWL account, one will be created automatically and securely. You will receive a secure way to set a password. Keep your account and email secure and report suspected compromise promptly.
Any download limit, access period or expiry will be disclosed before purchase or in the delivery message. Unless permanent hosting is expressly promised, download the files within the stated period and keep a lawful personal backup.
5. Personal licence
After full payment, TWL grants you a limited, non-exclusive, non-transferable licence to use the Digital Product for your own personal, non-commercial use.
You may download and store a reasonable number of copies on devices you control and make a reasonable personal backup. You may print copies for your personal use only where the product page or the Digital Product itself states that personal printing is permitted.
You must not, unless a product-specific licence or our written permission allows it:
- share, forward, publish, upload or distribute the Digital Product;
- resell, sublicense, rent, lend or commercially exploit it;
- use it for clients, groups, teaching, training, memberships or business distribution;
- copy or print it for another person;
- adapt it or create derivative products for distribution or sale;
- remove ownership notices or place it where others can access it;
- bypass access or security controls;
- use it to train or improve an artificial-intelligence or machine-learning system; or
- use it unlawfully or infringe another person's rights.
All intellectual-property rights remain owned by or licensed to Ndidi Ngwuluka Limited. No ownership transfers to you. Contact us before any team, classroom, client or commercial use.
We may suspend access or terminate the licence for a material breach. Where reasonably correctable, we may first ask you to stop and remedy it. On termination for breach, stop using and delete your copies. This does not affect mandatory remedies.
6. Refunds and digital-content rights
Every Digital Product includes TWL's 7-Day Money-Back Guarantee. If you request a refund within 7 calendar days of purchase, we will refund the full amount paid. No explanation is required, although we need enough order information to locate and verify the purchase.
This guarantee applies even after a file, download link, or access has been made available. It is separate from your rights when content is missing, defective, corrupted, incomplete, or inaccessible, or when a duplicate charge or purchase occurs. The Digital Product Refund Policy explains the process for refunds, technical support, duplicates, and mandatory consumer rights.
After a full refund, your licence ends and you must stop using and delete downloaded or printed copies, except where applicable law allows you to retain them.
Where local law requires consent to immediate digital delivery, requesting immediate supply may mean losing a cancellation right once supply begins, but only where and to the extent local law permits. Nothing in these Terms limits mandatory rights concerning digital content that is faulty, misdescribed, or not supplied with reasonable care and skill.
7. Support and use of content
For delivery or file problems, email hello@ndidingwuluka.com with the order number, checkout email, product name, device or software used and a clear description of the issue. Do not send passwords or full payment-card details. Follow reasonable setup and troubleshooting instructions and maintain your own device security and lawful backup.
Unless expressly stated otherwise, Digital Products provide general information or education, not legal, financial, medical, mental-health or other regulated professional advice. You are responsible for how you use the material. No particular result is promised.
Third-party software or services may have their own terms, pricing and availability. We are not responsible for independent third-party changes outside our reasonable control, but this does not remove responsibility that law places on TWL.
8. Liability and mandatory rights
We will supply Digital Products with reasonable care and skill and in material conformity with their descriptions. Nothing excludes liability where doing so is unlawful, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence where applicable.
For consumers, we are responsible for reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill. We are not responsible for loss that is not reasonably foreseeable, results from prohibited use or failure to follow clearly disclosed requirements, or could reasonably have been avoided by following our support instructions.
To the extent permitted by law, we are not liable for business losses arising from unauthorised business use. Nothing limits mandatory consumer guarantees, rights or remedies in your location.
9. General terms
If any provision is unlawful or unenforceable, the rest remains effective. A delay in enforcing a right is not a waiver. You may not transfer your licence or rights without our written consent. We may transfer our rights and obligations as part of a genuine business reorganisation or transfer, provided your rights are not reduced.
10. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria.
If a dispute arises, first email hello@ndidingwuluka.com with the problem and resolution sought. Both sides will try in good faith to resolve it directly. If unresolved, the parties may use mediation where appropriate and mutually agreed. Either party may submit a dispute that remains unresolved to a Nigerian court with competent jurisdiction.
Nothing here removes non-waivable local protections, remedies or rights to bring proceedings available to you.
